Terms of Service

Welcome to GPViralGenie ("we", "us", "our"). By accessing or using our website, services, or applications (collectively, the "Service") you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding contract. By using the Service you represent that you meet these requirements.

2. Account & Security

You are responsible for safeguarding your account credentials and for any activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to other users or to the Service.

3. Subscription, Billing & Credits

GPViralGenie is offered on a paid subscription basis billed in CAD via Stripe. Pricing, billing cycles, and credit allotments are shown at checkout. AI generation features consume credits at the rates published in your dashboard. Unused credits expire only as stated at top-up. You may cancel at any time from the Stripe customer portal; access continues until the end of the paid period and no partial refunds are issued.

X (Twitter) API actions performed through your connected accounts are metered and may be passed through to your next subscription invoice at cost plus a published margin.

4. Your Content & Connected Accounts

You retain all rights to content you upload or create with the Service. By submitting content you grant us a non-exclusive, worldwide, royalty-free license to host, process, transmit, transcode and display that content solely to operate the Service for you. You are solely responsible for ensuring you have the rights to any content you publish to third-party platforms via our integrations.

5. AI Outputs

Outputs of generative AI features (text, images, video, voice) are produced by third-party models and may be inaccurate, biased, or substantially similar to outputs delivered to other users. You are responsible for reviewing all AI outputs before publication and for complying with the policies of the destination platforms (e.g. YouTube, Instagram, TikTok, Facebook, X, LinkedIn).

6. Acceptable Use

You agree not to (a) violate any applicable law, (b) infringe third-party rights, (c) post hateful, harassing, defamatory, sexually explicit, or otherwise unlawful content, (d) attempt to reverse engineer, scrape, or overload the Service, or (e) use the Service to send spam or to circumvent platform anti-abuse measures.

7. Third-Party Services

The Service relies on third parties (Stripe, OpenAI, Google, Meta, Zernio, Ayrshare, Buffer, and others). Your use of those services is also governed by their own terms. We are not responsible for outages or policy changes by third parties.

8. Intellectual Property

The Service, including its software, design, trademarks and content (excluding your content) is owned by GPViralGenie and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose.

9. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

10. Limitation of Liability

To the maximum extent permitted by law, GPViralGenie and its officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenues, data or goodwill arising from your use of the Service. Our aggregate liability for any claim is limited to the amount you paid us in the three (3) months preceding the event giving rise to the claim.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability, governing law) shall survive.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in Toronto, Ontario.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via email or in-app banner. Continued use after the effective date constitutes acceptance.
